Jerzy Leszczyński
Chairman of the Supervisory Board
Jerzy Leszczyński is a graduate of law from the University of Łódź and holds the academic degree of doktor habilitowany in law.
Since 1984, he has worked for the Faculty of Law and Administration of the University of Łódź, and since 1990 as a partner in law firm Kancelaria Radców Prawnych Jerzy Leszczyński Zbigniew Wojnicki Spółka Jawna.
Mr Leszczyński was Chairman of the Supervisory Boards of Suwary S.A. of Pabianice (a public company), PZF Cefarm-Kraków S.A. of Kraków (a member of the Pelion Healthcare Group) and a member of the Supervisory Boards of Condomi Erfurt Productiongesellschaft mbH of Erfurt, Germany, and Condomi AG of Cologne (a public company).
Currently, he is Chairman of the Supervisory Boards of Monnari Trade S.A. of Łódź (a public company) and Bussines Support Solution S.A. of Łódź (a member of the Pelion Healthcare Group), and a member of the Supervisory Board of BSP S.A. of Łódź.
Mr Leszczyński has been Chairman of the Supervisory Board of Pelion S.A. since 1994.
According to his representation, Mr Jerzy Leszczyński is not conducting any activities competitive to the Company's business, is not a partner in any competitive partnership under civil law or another type of partnership, a member of a governing body of any incorporated company, or a member of a governing body of any other legal entity competing with the Company.
Jerzy Leszczyński does not meet the conditions required from an independent member of the Supervisory Board stipulated in Par. 13.2 of the Company's Articles of Association, because he is a partner in a firm providing legal assistance to Pelion S.A.
Hubert Janiszewski
Deputy Chairman of the Supervisory Board
Hubert Janiszewski holds a PhD in economics from the Warsaw University of Technology.
Since 1999 he has worked for Deutsche Bank Polska S.A., where he served as a member of the Management Board and currently holds positions on the Supervisory Boards of the Deutsche Bank Group, as Chairman of the Supervisory Board of DB Securities S.A., Deputy Chairman of the Supervisory Board of Deutsche Bank PBC S.A. and Member of the Supervisory Board of Deutsche Bank Polska S.A
Currently, he is also Chairman of the Supervisory Boards of Złomrex S.A. and Unimil S.A. and Member of the Supervisory Boards of Netia S.A., Polmos Lublin S.A. and MCI S.A.
Mr Janiszewski has been on the Supervisory Board of Pelion S.A. since 1999.
According to his representation, Mr Hubert Janiszewski is not involved in any business outside the Company, and in particular is not conducting any activities competitive to the Company's business, is not a partner in any competitive partnership under civil law or another type of partnership, a member of a governing body of any incorporated company, or a member of a governing body of any other legal entity competing with the Company. Mr Janiszewski has made a representation to the effect that he meets the conditions required from an independent member of the Supervisory Board stipulated in Par. 13.2 of the Company's Articles of Association.
Anna Biendara
Member of the Supervisory Board
Pani Anna Biendara ukończyła wydział ekonomiczno-socjologiczny na Uniwersytecie Łódzkim.
Przebieg pracy zawodowej jest zgodny z posiadanym wykształceniem.
Od lat związana z Polską Grupą Farmaceutyczną – obecnie Pelion SA. gdzie od 1994 pełniła funkcję wiceprezesa zarządu ds. finansowych.
Zgodnie ze złożonym oświadczeniem Pani Anna Biendara nie prowadzi innej działalności wykonywanej poza przedsiębiorstwem emitenta, w szczególności konkurencyjnej wobec emitenta, jak również nie uczestniczy w spółce konkurencyjnej jako wspólnik spółki cywilnej, spółki osobowej lub jako członek organu spółki kapitałowej oraz nie uczestniczy w innej konkurencyjnej osobie prawnej jako członek jej organu. Zgodnie ze złożonym oświadczeniem Pani Anna Biendara nie figuruje w Rejestrze Dłużników Niewypłacalnych prowadzonym na podstawie ustawy o KRS. Pani Anna Biendara nie złożyła oświadczenia o spełnianiu warunków niezależności Członka Rady Nadzorczej wymienionych w paragrafie § 13.2 Statutu Spółki ze względu na prace w organach spółki zależnej od Spółki Pelion S.A.
Jan Kalinka
Member of the Supervisory Board
Jan Kalinka holds a PhD degree in pharmacy from the Medical Academy of Łódź.
Between 1980 and 1988, he worked as the manager of a hospital pharmacy in Benghazi, Libya. Since 1992, Mr Kalinka has been the owner and manager of a private pharmacy.
He has served on the Supervisory Board of Pelion S.A. since 2003.
According to his representation, Mr Jan Kalinka is not involved in any business outside the Company, and in particular is not conducting any activities competitive to the Company's business, is not a partner in any competitive partnership under civil law or another type of partnership, a member of a governing body of any incorporated company, or a member of a governing body of any other legal entity competing with the Company.
Mr Kalinka has made a representation to the effect that he meets the conditions required from an independent member of the Supervisory Board stipulated in Par. 13.2 of the Company's Articles of Association.
Jacek Tucharz
Member of the Supervisory Board
Jacek Tucharz holds an MA degree from the Faculty of Foreign Trade of the Warsaw School of Economics (SGH). He also successfully completed Postgraduate Studies in Marketing Policy at the Warsaw School of Economics.
From 1996, Mr Tucharz worked for investment fund companies as assets manager. Since 2006, he has conducted business activity as a sole trader.
Mr Tucharz is a Member of the Supervisory Board of Cersanit S.A. of Kielce. Since 2009, he has been serving on the Supervisory Board of Pelion S.A., to which he was appointed by ING PTE S.A.
According to his representation, Mr Jacek Tucharz is not conducting any activities competitive to the Company's business, is not a partner in any competitive partnership under civil law or another type of partnership, a member of a governing body of any incorporated company, or a member of a governing body of any other legal entity competing with the Company.
